Qept.cloud Terms and Conditions

Welcome to Qept.cloud ("Qept", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Qept.cloud website, applications, APIs, storage services, and related services (collectively, the "Service").
By creating an account, accessing the Service, or using any part of the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.
1. About Qept
Qept.cloud provides cloud-based data archival and storage services designed for long-term retention of digital data.
Qept may use third-party cloud infrastructure providers to store and process customer data, including Amazon Web Services ("AWS") and its Amazon S3 storage services.
Qept is an independent service provider and is not owned, operated, or endorsed by Amazon Web Services.
2. Eligibility
You must be legally capable of entering into a binding agreement to use Qept.
If you use Qept on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
You may not use Qept if applicable laws prohibit you from doing so.
3. Your Account
You are responsible for:
- providing accurate account information;
- maintaining the security of your account credentials;
- keeping your password secure;
- protecting your API keys and access tokens;
- all activity performed through your account; and
- notifying us promptly of unauthorized access.
You must not share your account credentials with other individuals except where Qept expressly provides account or organization-management functionality.
You are responsible for maintaining appropriate security practices for any systems connected to Qept through our API or other integrations.
4. Storage Services
Qept provides archival storage subject to the storage capacity included with your selected plan.
Storage capacity is measured according to the units and calculation methods displayed within the Qept Service.
Your available storage capacity depends on your subscription plan.
You may not exceed your plan's storage allocation unless Qept expressly permits such usage.
Qept may restrict uploads when your storage allocation has been reached.
5. Storage Classes
Qept may provide multiple archival storage classes, including:
Qept Flex
Qept Flex uses an archival storage class designed for data that may occasionally need to be restored with comparatively faster retrieval options.
Qept Deep
Qept Deep uses a deep archival storage class designed for data intended for long-term retention and infrequent access.
Storage classes may have different restoration times and costs.
The applicable storage class and associated characteristics will be displayed within the Service.
No automatic movement unless stated
Unless explicitly stated otherwise, Qept will not automatically move your files between storage classes.
If Qept introduces automatic lifecycle management in the future, the applicable terms and conditions will be communicated to customers.
6. Your Data
You retain ownership of the files, documents, backups, and other content that you upload to Qept ("Customer Data").
You grant Qept a limited license to host, store, reproduce, transmit, process, and otherwise handle Customer Data solely as necessary to provide, maintain, secure, and improve the Service.
Qept does not acquire ownership of your Customer Data.
You are responsible for ensuring that you have all necessary rights, permissions, and legal authority to upload and store Customer Data using Qept.
7. Prohibited Content and Use
You may not use Qept to store, distribute, transmit, or facilitate unlawful content or activity.
You may not use Qept to:
- violate applicable laws or regulations;
- infringe intellectual-property rights;
- distribute malware, viruses, ransomware, or other malicious software;
- operate phishing or credential-theft schemes;
- facilitate fraud or other criminal activity;
- distribute content that you do not have the legal right to distribute;
- interfere with the operation or security of Qept;
- attempt to gain unauthorized access to Qept or another customer's data;
- abuse APIs or other Qept infrastructure;
- circumvent storage, billing, rate, or usage restrictions; or
- use Qept in a manner that creates unreasonable risk to Qept or other customers.
Qept may suspend or terminate accounts that violate these requirements.
8. Subscriptions and Billing
Certain Qept features require a paid subscription.
By purchasing a paid plan, you authorize Qept or its designated payment provider to charge the applicable subscription fees.
Subscription prices are displayed on the Qept website or within the Service before purchase.
Unless otherwise stated, subscriptions renew automatically at the applicable billing interval.
You may cancel your subscription through the billing functionality provided by Qept.
Cancellation does not necessarily result in an immediate deletion of Customer Data.
9. Payment Providers
Qept may use third-party payment processors to process payments.
Payment information may be handled directly by the applicable payment provider and may be subject to that provider's terms and privacy policies.
Qept may receive transaction information necessary to manage your subscription and account.
10. Egress Charges
Qept may charge separately for data transferred from the Service to external destinations ("Egress").
Your subscription may include a limited amount of complimentary egress each billing period.
For example, Qept may provide 5 GB of complimentary egress per month.
Once the included allowance has been consumed, additional egress may be charged according to the rates displayed in your plan or billing interface.
Egress charges are separate from your storage subscription fee.
You are responsible for all applicable egress charges associated with your account.
Qept may restrict further data transfers if unpaid egress charges reach a specified threshold.
11. Data Retrieval and Restoration
Archived data may require a restoration process before it can be downloaded or accessed.
Restoration times depend on the storage class and retrieval option selected.
Some retrieval options may incur additional charges.
Applicable retrieval prices will be displayed by Qept before or during the restoration process where technically possible.
Qept does not guarantee that a restoration will complete within a particular period unless Qept expressly provides such a guarantee.
Restored data may be subject to temporary storage or availability limitations imposed by the underlying storage provider.
12. AWS and Third-Party Infrastructure
Qept relies on third-party infrastructure and service providers to provide portions of the Service.
This may include AWS and other infrastructure, payment, authentication, networking, email, monitoring, and software providers.
Third-party services may experience outages, failures, maintenance, pricing changes, limitations, or other events outside Qept's control.
Qept will make reasonable efforts to maintain the Service but does not guarantee uninterrupted availability.
13. Data Protection and Security
Qept implements reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, loss, alteration, or disclosure.
However, no internet-based or cloud-storage service can guarantee absolute security.
You are responsible for maintaining appropriate copies of important data.
Qept should not be considered your sole backup of critical information.
We strongly recommend maintaining an independent backup for critical Customer Data.
14. Data Loss
Qept is designed for archival storage, but you acknowledge that data loss can occur due to circumstances including:
- software failures;
- infrastructure failures;
- third-party provider failures;
- account compromise;
- accidental deletion;
- malicious activity;
- configuration errors;
- force majeure events; or
- other circumstances outside Qept's reasonable control.
To the maximum extent permitted by applicable law, Qept does not guarantee that Customer Data will never be lost or corrupted.
15. Deleted Data
When you delete data, Qept may initially place the data into a trash, recovery, or deletion-pending state.
Deleted data may be permanently removed after the retention period specified by Qept.
Once data has been permanently deleted, it may not be recoverable.
You are responsible for verifying that you no longer require data before permanently deleting it.
16. Non-Payment
If a subscription or other charges remain unpaid, Qept may restrict your account.
Qept may provide a grace period before permanently deleting Customer Data.
During a restricted or suspended state:
- uploads may be disabled;
- downloads may be restricted;
- restorations may be restricted;
- API access may be restricted; and
- other Service functionality may be limited.
If payment is not resolved within the applicable retention period, Qept may permanently delete Customer Data.
The applicable retention period should be communicated to customers through the Service or applicable plan documentation.
17. Cancellation
You may cancel your subscription at any time through the available billing controls.
Unless otherwise stated, cancellation will prevent future subscription renewals but will not automatically result in immediate deletion of Customer Data.
Your account may remain accessible until the end of the applicable paid billing period.
After cancellation, Customer Data may remain subject to Qept's applicable storage and deletion policies.
18. Refunds
Unless otherwise required by applicable law, subscription payments are generally non-refundable.
Qept may issue refunds or credits at its discretion.
Where applicable law grants you mandatory consumer cancellation or refund rights, those rights are not excluded by these Terms.
19. Changes to Pricing
Qept may change its pricing from time to time.
If a pricing change affects an existing paid subscription, Qept will provide reasonable notice before the new price becomes effective.
Your continued use of the paid Service after the effective date of a pricing change constitutes acceptance of the new pricing, subject to applicable law.
20. Service Changes
Qept may modify, improve, replace, or discontinue features of the Service.
Where reasonably practical, Qept will provide notice of material changes.
Qept may also make changes necessary to comply with laws, security requirements, third-party infrastructure changes, or technical requirements.
21. Availability
Qept aims to provide reliable service but does not guarantee that the Service will:
- always be available;
- operate without interruption;
- be free of errors;
- be completely secure; or
- satisfy every particular customer requirement.
Scheduled maintenance, emergency maintenance, infrastructure failures, and third-party outages may temporarily affect availability.
22. Intellectual Property
Qept and its software, website, branding, interfaces, designs, documentation, and other materials are owned by or licensed to Qept and are protected by applicable intellectual-property laws.
Except as expressly permitted by these Terms, you may not:
- copy Qept's software;
- reverse engineer the Service;
- reproduce Qept's branding;
- resell the Service without authorization;
- modify or create derivative works from Qept's software; or
- attempt to extract or reproduce the underlying technology.
You retain ownership of Customer Data as described above.
23. API Usage
Qept may provide API access subject to applicable rate limits and usage restrictions.
You are responsible for applications and systems that use your Qept API credentials.
You must not:
- expose private API keys publicly;
- intentionally circumvent rate limits;
- generate abusive traffic;
- attempt to compromise the API; or
- use the API for prohibited activities.
Qept may revoke or restrict API access where necessary to protect the Service.
24. Account Suspension
Qept may temporarily suspend an account where reasonably necessary to:
- protect the security of the Service;
- investigate suspected abuse;
- address unlawful activity;
- prevent fraud;
- respond to security incidents;
- address significant unpaid charges; or
- prevent harm to Qept or other customers.
Where reasonably possible, Qept will notify the affected customer and provide an opportunity to resolve the issue.
25. Termination
Qept may terminate an account if you materially breach these Terms and fail to remedy the breach within a reasonable period where remediation is possible.
Qept may immediately terminate accounts involved in serious abuse, illegal activity, security attacks, or activity that presents an imminent threat to Qept or its customers.
Upon termination, your right to use the Service will end.
Customer Data will be handled according to Qept's applicable deletion and retention policies.
26. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
Qept disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by applicable law.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Qept will not be liable for:
- indirect damages;
- incidental damages;
- consequential damages;
- loss of profits;
- loss of business;
- loss of anticipated savings;
- loss of goodwill; or
- loss of data,
arising from your use of the Service.
To the maximum extent permitted by applicable law, Qept's aggregate liability arising from the Service will be limited to the amount you paid to Qept for the Service during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited.
28. Indemnification
You agree to indemnify and hold harmless Qept and its officers, employees, contractors, and service providers from claims, damages, liabilities, and expenses arising from:
- your violation of these Terms;
- your Customer Data;
- your unlawful use of the Service;
- your infringement of third-party rights; or
- your violation of applicable law.
This provision applies to the extent permitted by applicable law.
29. Force Majeure
Qept will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
- natural disasters;
- war;
- terrorism;
- government actions;
- internet failures;
- power failures;
- infrastructure failures;
- cloud-provider outages;
- telecommunications failures;
- cyberattacks; or
- other events beyond Qept's reasonable control.
30. Privacy
Your use of Qept is also subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information.
The Privacy Policy forms part of these Terms.
31. Changes to These Terms
Qept may update these Terms from time to time.
Updated Terms will be published on the Qept website with a revised "Last Updated" date.
Where required by applicable law, Qept will provide additional notice of material changes.
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to applicable law.
32. Governing Law
These Terms will be governed by the laws of [JURISDICTION], without regard to conflict-of-law principles.
Any disputes arising from these Terms will be subject to the courts of [JURISDICTION], except where applicable law provides otherwise.
This section should be completed by your lawyer based on the legal entity operating Qept.
33. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
34. Entire Agreement
These Terms, together with the Qept Privacy Policy and any other policies expressly incorporated into these Terms, constitute the agreement between you and Qept regarding your use of the Service.

One change I'd strongly recommend for Qept
I would not put the phrase:
"Keep It Forever"
into the legal terms as a promise.
Your marketing can say:
Archive Today. Keep It Forever.
But your legal terms should make clear that data is subject to subscription status, deletion policies, service availability, and applicable retention periods.
Otherwise, a customer could potentially argue that "forever" was a contractual promise of permanent data retention.
I'd also create three separate legal/product documents for Qept:
- Terms & Conditions — the document above.
- Privacy Policy — personal data, cookies, analytics, payment information, etc.
- Acceptable Use Policy — prohibited content and abuse rules.
